1. Introduction:
These Terms & Conditions (“Agreement”) govern the contractual relationship between HMB Projects Pvt. Ltd (referred to as “HMB Projects,” “Company,” “we,” “our,” or “us”) based in the Jharkhand state of India and the customer (“Customer,” “Client,” “you,” or “your”) engaging in coal transportation and road construction services. By entering into a business agreement with HMB Projects, you agree to adhere to the terms and conditions outlined herein.
2. Services Offered
HMB Projects specializes in coal transportation and road construction services across India. Our services encompass a wide range of activities related to the efficient transport of coal and the construction of roads to facilitate safe and reliable transportation.
3. Quotations and Agreements:
a. Quotations provided by HMB Projects are based on the information available at the time and are subject to change. Quotations are valid for the period specified in the quotation document.
b. Agreements shall be made in writing and signed by both parties. The agreement will detail the scope of work, timelines, payment terms, and any other relevant terms.
4. Payment Terms:
a. Payment terms will be outlined in the agreement and are binding. HMB Projects reserves the right to suspend or terminate services if payment obligations are not met.
b. All payments shall be made in the currency specified in the agreement and within the agreed-upon time frames.
5. Project Timelines:
a. HMB Projects will make every effort to adhere to agreed project timelines. However, unforeseen circumstances such as weather, regulatory changes, or other external factors may cause delays.
b. In the event of project delays, HMB Projects will communicate with the Client promptly and work to minimize the impact on the project schedule.
6. Quality and Safety:
a. HMB Projects is committed to delivering high-quality work and adhering to safety regulations in all aspects of our services.
b. The Client is responsible for providing necessary safety and compliance information to HMB Projects.
7. Changes and Amendments:
a. Any changes or amendments to the project scope, timelines, or other terms must be agreed upon in writing by both parties.
b. Changes to the project scope may result in adjustments to costs and timelines, which will be communicated to the Client.
8. Confidentiality:
a. Both parties agree to treat all confidential information obtained during the course of the project as strictly confidential.
b. Confidential information includes, but is not limited to, trade secrets, proprietary information, and project details.
9. Termination:
a. Either party may terminate the agreement in the event of a material breach by the other party.
b. Termination must be made in writing with clear reasons provided.
10. Dispute Resolution:
Any disputes arising from this agreement shall be resolved through negotiation and mediation. If resolution cannot be achieved through these means, the parties may resort to legal action as a last resort.
11. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the Indian government and the state of Jharkhand.
By engaging in business with HMB Projects Pvt. Ltd, you acknowledge that you have read, understood, and agreed to abide by these Terms & Conditions. These terms constitute a legally binding agreement between HMB Projects and the Client.
The Company reserves the right to amend these Terms & Conditions with prior notice.
